Agreement to Terms

By accessing or using the website adsmooth.in or engaging our services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with any part of these terms, you may not use our website or services.

Services

AdSmooth provides digital marketing, web development, SEO, branding, social media management, email marketing, and related services for small businesses. The specific scope, deliverables, pricing, and timeline for each service engagement will be agreed upon in a separate proposal, invoice, or service agreement.

Payment Terms

• One-time services (e.g., website development, branding) require a 50% advance payment before work commences, with the balance due upon delivery.
• Recurring monthly services are billed monthly in advance. Services continue on a month-to-month basis unless either party provides 15 days' written notice of cancellation.
• All prices are in Indian Rupees (INR) and exclude applicable taxes (GST).
• Invoices unpaid beyond 7 days of the due date may result in pausing of services.

Client Responsibilities

To enable us to deliver services effectively, clients agree to provide accurate, complete, and timely information and content as required. Clients must also:

• Provide necessary access to accounts, platforms, and tools as agreed
• Review and approve deliverables within the agreed timeframe (typically 5 business days)
• Ensure all content provided is owned by the client and does not infringe third-party rights

Intellectual Property

Upon receipt of full payment, all deliverables created specifically for the client (logos, website designs, written content) are the property of the client. AdSmooth retains the right to display completed work in our portfolio unless otherwise agreed in writing.

All pre-existing tools, frameworks, code libraries, and methodologies used in delivering services remain the intellectual property of AdSmooth or their respective owners.

Revisions and Scope

Each service package includes a defined number of revision rounds as stated in the proposal. Additional revisions, scope changes, or additions beyond the agreed scope will be quoted and billed separately before commencement.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives termination of the service relationship.

Limitation of Liability

AdSmooth's total liability to a client for any claim arising from our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim in the 3 months preceding the claim. AdSmooth shall not be liable for any indirect, incidental, special, or consequential damages including loss of profit, revenue, data, or business opportunities.

No Guarantee of Results

While we strive to deliver excellent results, digital marketing outcomes depend on many factors outside our control (algorithm changes, market conditions, competition, etc.). We do not guarantee specific rankings, follower counts, leads, or revenue outcomes unless explicitly stated in a written agreement.

Termination

Either party may terminate a monthly service engagement with 15 days' written notice. For project-based work, termination prior to completion may result in forfeiture of the advance payment. Any work completed up to the termination date remains billable.

Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of courts in India.
